These Terms of Service (“Terms”) govern your use of websites, landing pages, forms, products, services, and other online experiences operated by Be Relevant LLC (“Be Relevant,” “we,” “us,” or “our”), including those offered under the Be Relevant and That Kevin Guy brands.

By accessing our websites, purchasing a product or service, scheduling an appointment, submitting information, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, please do not use our websites or services.

Our Services

Be Relevant LLC provides business consulting, diagnostic, strategy, implementation, technology, systems, process improvement, automation, artificial intelligence, software, integration, and related professional services.

Specific products or engagements may have their own scope, deliverables, pricing, timelines, usage allowances, billing arrangements, cancellation provisions, or additional terms communicated at the time of purchase or engagement.

The exact services provided to you are determined by the product or service purchased and any applicable proposal, scope of work, order form, checkout page, invoice, service agreement, or other written communication between you and Be Relevant LLC.

Our products and services may change over time. Unless otherwise stated, these Terms apply generally to products and services offered by Be Relevant LLC under the Be Relevant and That Kevin Guy brands without requiring each individual product or service to be specifically identified in these Terms.

Business Engine Blueprint

The Business Engine Blueprint is a paid business diagnostic designed to identify opportunities, inefficiencies, operational challenges, owner dependencies, and areas that may warrant improvement.

Unless otherwise stated at the time of purchase, the Business Engine Blueprint includes:

• A focused questionnaire or intake process

• A diagnostic conversation

• Analysis of the information provided and matters discussed

• A personalized Business Engine Blueprint and prioritized roadmap

• A review session to discuss findings and recommended next steps

The Business Engine Blueprint is a diagnostic and advisory engagement. It does not include implementation of recommended solutions unless implementation is separately agreed upon.

There is no requirement to hire Be Relevant LLC for implementation following completion of the Business Engine Blueprint.

Client Responsibilities

The quality and usefulness of our services depend in part upon the accuracy and completeness of the information you provide.

You agree to provide information that is accurate to the best of your knowledge and to cooperate reasonably when information, access, decisions, approvals, or other participation is necessary to perform the services.

You are responsible for ensuring that you have the authority to provide any business, customer, employee, financial, operational, or other information you share with us.

You remain responsible for decisions made regarding your business and for determining whether and how to implement any recommendation.

Scheduling and Appointments

Certain services require scheduled calls, meetings, diagnostic sessions, review sessions, implementation sessions, or other appointments.

You are responsible for selecting an available appointment time and attending the scheduled appointment.

If you need to reschedule, please use the rescheduling option provided in your appointment confirmation or contact us as soon as reasonably possible.

We understand that schedules change and will make reasonable efforts to accommodate legitimate rescheduling requests.

Repeated missed appointments, excessive rescheduling, or unreasonable delays may affect our ability to complete an engagement and may require the engagement to be rescheduled, paused, or otherwise addressed at our discretion.

Purchases and Payment

Prices are displayed or communicated before purchase or engagement.

Unless otherwise stated, payment is due according to the terms presented at checkout, in a proposal, invoice, order form, service agreement, or other applicable purchase document.

By submitting payment information, you represent that you are authorized to use the payment method provided and authorize the applicable charges.

Additional fees, usage charges, setup fees, implementation fees, or other charges will apply only when included in the applicable offer or otherwise agreed upon.

Recurring Services

Certain products and services may be offered on a recurring subscription or ongoing service basis.

The applicable price, billing frequency, included services, usage allowances or usage-based charges, cancellation terms, and any other offer-specific terms will be disclosed at the time of purchase or in the applicable proposal, order form, checkout page, service agreement, invoice, or other written agreement.

By purchasing a recurring service, you authorize the applicable recurring charges until the service is cancelled in accordance with the terms applicable to that service.

Cancellation of a recurring service stops future billing according to the cancellation provisions applicable to that service. Unless otherwise stated in the applicable offer or required by law, cancellation does not create a right to a refund for services, subscription periods, usage, or other charges already provided or incurred.

Cancellations and Refunds

Because many of our services involve professional time, preparation, analysis, scheduling, configuration, implementation, or customized work, payments for services are generally non-refundable once substantive work on the engagement has begun.

For the Business Engine Blueprint, you may request cancellation before completing your diagnostic session. If substantive analysis or other customized work has not yet begun, we will review the request and determine whether a refund is appropriate based on the circumstances.

Once the diagnostic session has occurred or substantive analysis or preparation has begun, the Business Engine Blueprint fee is non-refundable.

If Be Relevant LLC is unable to provide a purchased service and we cannot reasonably reschedule or otherwise fulfill the engagement, we will provide an appropriate refund for the portion of the service we are unable to provide.

Any different cancellation or refund terms stated in a specific proposal, agreement, order form, checkout page, or other purchase document will control for that engagement.

Recommendations and Implementation

Our recommendations may involve changes to processes, people, responsibilities, software, technology, automation, artificial intelligence, vendors, communications, workflows, or other aspects of a business.

Recommendations are based on the information available to us and our professional judgment at the time.

You are responsible for deciding whether to implement any recommendation.

Implementation services are separate from diagnostic or advisory services unless expressly included in the purchased scope.

If you choose to engage Be Relevant LLC for implementation, the scope, price, responsibilities, and other terms of that work may be documented separately.

No Guarantee of Results

We work to provide thoughtful, practical recommendations and services intended to improve business operations and outcomes.

However, business results depend on numerous factors outside our control, including market conditions, competition, customer behavior, employee performance, implementation quality, technology, economic conditions, and decisions made by you or others.

Accordingly, we do not guarantee any particular revenue, profit, savings, business valuation, lead volume, conversion rate, operational improvement, or other specific result.

Examples, estimates, projections, case studies, or discussions of potential outcomes are illustrative and should not be interpreted as guarantees.

Professional Advice Disclaimer

Our services are intended to provide business, operational, systems, and strategic guidance.

Unless expressly agreed otherwise in writing, Be Relevant LLC does not provide legal, tax, accounting, investment, medical, or other regulated professional advice.

You should consult an appropriately licensed professional when decisions require specialized legal, tax, accounting, financial, or other professional advice.

Technology and Third-Party Services

Our services may involve or interact with third-party platforms, software, telecommunications providers, artificial intelligence services, payment processors, customer relationship management systems, hosting providers, APIs, or other technology.

Third-party products and services are governed by their own terms, policies, pricing, functionality, and availability.

We do not control third-party services and cannot guarantee that any third-party platform will remain available, maintain particular functionality, continue an integration, or operate without interruption.

Changes made by third-party providers may affect systems, integrations, workflows, or services we design or implement.

Artificial Intelligence and Automation

Some services may incorporate artificial intelligence, automated systems, or machine-assisted analysis.

These technologies may assist with research, analysis, communication, workflow execution, content generation, customer interactions, or other business processes.

Artificial intelligence and automated systems can produce inaccurate, incomplete, or unexpected results. Appropriate human review and oversight may therefore be necessary depending on the use case.

You remain responsible for business decisions and for determining whether outputs generated through such systems are appropriate for your intended use.

Intellectual Property

Unless otherwise agreed in writing, Be Relevant LLC retains ownership of its pre-existing intellectual property, methodologies, frameworks, processes, templates, systems, software, know-how, documentation, training materials, designs, and other proprietary materials.

Upon full payment for an engagement, you may use deliverables specifically prepared for your business for your own internal business purposes, subject to any third-party rights or licensing restrictions.

Purchasing a service or receiving a deliverable does not transfer ownership of Be Relevant LLC's underlying methodologies, frameworks, tools, templates, software, or other pre-existing intellectual property.

You may not reproduce, resell, distribute, publish, license, or commercially exploit our proprietary materials without written permission.

Your Materials

You retain ownership of information, documents, trademarks, content, data, and other materials you provide to us.

You grant Be Relevant LLC permission to use those materials as reasonably necessary to provide the services you request.

You represent that you have the right to provide and authorize our use of those materials for the engagement.

Confidentiality

In providing services, we may receive non-public information about your business.

We will use reasonable care to protect confidential business information provided to us and will use such information primarily for providing the requested services and operating our business.

This obligation does not apply to information that is publicly available, independently developed without use of your confidential information, lawfully obtained from another source, or required to be disclosed by law.

Nothing in these Terms prevents us from using general knowledge, experience, skills, techniques, concepts, or know-how gained through providing services, provided we do not disclose your confidential information.

Website Content

Information provided on our websites is for general informational purposes.

We make reasonable efforts to provide useful and accurate information but do not warrant that all website content will always be complete, current, or error-free.

Website content does not create a consulting or professional-services relationship unless you separately purchase or engage us to provide a service.

Acceptable Use

You agree not to use our websites or services to:

• Violate applicable law

• Infringe the rights of others

• Attempt unauthorized access to systems or information

• Introduce malicious software or harmful code

• Interfere with website or service operation

• Misrepresent your identity or authority

• Submit information you do not have the right to provide

Dispute Resolution

If a dispute arises relating to these Terms or our services, the parties agree to first make a good-faith effort to resolve the matter directly through reasonable communication.

If the dispute cannot be resolved directly, the parties may mutually agree to participate in non-binding mediation before pursuing other available remedies.

Neither party is required to submit a dispute to arbitration under these Terms.

Nothing in this section prevents either party from seeking appropriate legal or equitable relief when necessary.

Limitation of Liability

To the fullest extent permitted by applicable law, Be Relevant LLC and its owners, officers, employees, contractors, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, lost data, or business interruption arising from or related to our websites, products, or services.

To the fullest extent permitted by applicable law, the aggregate liability of Be Relevant LLC and its owners, officers, employees, contractors, agents, and representatives, collectively, arising from or related to any claim will not exceed:

(a) for a one-time product, service, or engagement, the amount actually paid to Be Relevant LLC for the specific product, service, or engagement giving rise to the claim; or

(b) for a recurring or ongoing service, the total fees actually paid to Be Relevant LLC for that specific service during the six (6) months immediately preceding the event giving rise to the claim.

If no fees were paid for the website, product, or service giving rise to the claim, aggregate liability will not exceed $100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Be Relevant LLC and its owners, employees, contractors, and representatives from claims, liabilities, damages, or expenses arising from your unlawful use of our services, your violation of these Terms, your violation of another person's rights, or materials you provide without proper authorization.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from these Terms or our services will be subject to the jurisdiction of the appropriate state or federal courts located in Florida, unless another written agreement between you and Be Relevant LLC provides otherwise.

Changes to These Terms

We may update these Terms periodically to reflect changes to our business, services, technology, or legal requirements.

Updated Terms will be posted on this page with a revised effective date.

Changes will apply prospectively unless otherwise permitted or required by law.

Entire Agreement and Additional Terms

These Terms, together with our Privacy Policy and any applicable proposal, scope of work, order form, checkout terms, invoice terms, service agreement, or other written agreement, constitute the terms applicable to your relationship with Be Relevant LLC.

If a specific written agreement or offer-specific terms conflict with these general Terms, the specific terms will control with respect to that product, service, or engagement.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
